At HBC we are a company of adventurers who explore uncharted territory, challenge convention, and work with imagination and fun.   Reporting: Director, Senior Legal Counsel   Major Responsibilities   Hudson’s Bay Company is seeking a lawyer with at least four years of corporate-commercial experience at a reputable law firm with optional prior in-house experience (ideally a retail environment). The successful candidate will be expected to draft, review, and negotiate contracts related to many aspects of the retail business, provide strategic and proactive advice on a wide variety of issues, as well as advise on corporate finance and transactional matters.  This position will support all HBC banners, including Hudson’s Bay, Home Outfitters, Saks Fifth Avenue, Saks OFF FIFTH, Lord & Taylor and Gilt.    Role responsibilities include:

  • Support the operational business by drafting, reviewing, and negotiating contracts with a wide range of merchandise and non-merchandise vendors for both traditional and digital retail, including contracts related to licensing, financial services, information security, information technology, software licensing, consulting/cloud services, supply chain/logistics, special events, confidentiality and a wide range of other goods and services.
  • Draft and provide input on RFP and contract templates.
  • Coordinate with and assist other lawyers throughout the cross-border legal department on various projects/issues on an as needed basis.
  • Handle complex and/or sensitive projects, legal problems or issues with supervision by other department lawyers. 
  • Instruct external counsel on matters on behalf of HBC.

Qualifications Personal Characteristics   The successful candidate should be a bright, energetic, business-minded and self-motivated transactional attorney with at least three (3) years of corporate commercial experience with optional prior in house experience (retail environment a plus) r with a quantifiable track record of success in delivering results within a large complex organization.  He/she must have strong executive presence, business acumen, and the ability to quickly assess a new environment and develop solutions that support the business strategy, critical objectives, and cultural norms. He/she must be creative with a strategic mindset along with the ability to turn concepts into action.  He/she must have strong relationship building and influence skills. This role requires a player/coach mentality, capable of thinking strategically as well as rolling up one’s sleeves and getting into the work.  The successful candidate will be a change agent who is flexible, resilient, and able to thrive in a dynamic, rapid paced environment. He/she will embody a culture of taking smart risks and innovating to win.   Professional Qualifications
