ASSOCIATE COUNSEL

REPORTS TO:
Vice President General Counsel

BUSINESS/LOCATION:
New York & Company, Inc. – Legal Department

OVERVIEW:
Working closely with the VP, General Counsel and senior leaders of the organization, the Associate Counsel provides legal advice, guidance and support to all business units of this leading women’s specialty retailer. The Associate Counsel will focus primarily on commercial contracts and intellectual property, but will also provide support as needed, on general corporate law, real estate, litigation and employment law matters.

RESPONSIBILITIES:

• Review, draft and negotiate a wide range of agreements, including real estate leases, master service agreements, technology and licensing agreements, product sourcing agreements, NDAs and other commercial contracts
• Manage the prosecution and enforcement of all forms of New York & Company’s intellectual property, including its trademarks, trade secrets, copyrights and patents. Review designs and style names with Design department and other business groups
• Advise Company representatives on a wide range of issues, including risk management, marketing promotions and dispute resolution
• Assist in the management of litigation matters, including oversight of outside counsel, discovery, witness preparation, review of motions and other pleadings
• Assist on leasing and real estate matters related Company’s 450+ stores
• Partner with HR on employee relations issues
• Participate in the definition, development and interpretation of Company policies, procedures and programs

Required Experience

REQUIREMENTS:
• 3 to 6 years of legal experience, with a minimum of 2 years in-house experience highly preferred
• Experience negotiating and drafting a wide range of contracts is a must
• Highly accurate and detail-oriented
• Ability to meet deadlines and handle multiple tasks and projects
• Strong verbal and written communication skills
• Ability to work in a dynamic, fast changing environment
• Self-starter and ability to pursue effort with minimal supervision
• Flexible and collaborative attitude a must

EDUCATION:
Bachelor’s and Law Degrees Required
